Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Hammer Forge Apps LLC ("LabLinks", "we", "us"). They govern your use of the LabLinks services, including the web portal at lab-links.com, merchant portal pages (including those served on custom domains), and the LabLinks app for Shopify. By creating an account, installing the app, or using the services, you agree to these Terms. If you do not agree, do not use the services.

LabLinks is a business tool intended for commercial use by merchants and their authorized team members. You must provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account; notify us promptly at support@lab-links.com if you suspect unauthorized access.

Paid plans are offered as described on our pricing page and may be billed monthly or annually. Portal subscriptions are processed by Stripe; subscriptions purchased through the Shopify app are processed by Shopify's billing system. Introductory discounts apply as described at the time you subscribe and continue until you cancel or switch plans. Upgrades take effect immediately; downgrades take effect at the end of the current billing period. Except where required by law or expressly stated otherwise, payments are non-refundable. If payment fails or your account is past due, we may suspend access to paid features until the balance is resolved.

We offer a Free plan and free trials on paid plans so you can evaluate the services. Free plan limits (such as the number of lab reports) and trial terms may change over time; we will provide reasonable notice of material changes. We may revoke free access in cases of abuse.

You retain ownership of all content you upload to LabLinks, including COAs, lab reports, product information, logos, and branding ("Your Content"). You grant us a worldwide, non-exclusive license to host, store, display, and distribute Your Content solely as needed to operate the services as you direct — for example, displaying a lab report on your product page, portal, or QR code destination. You are responsible for the accuracy of Your Content and for having the right to upload and publish it, including any rights of the testing laboratory.

• Do not upload or publish unlawful content, or use the services to sell products that are illegal in the jurisdictions where you sell them.
• Do not misrepresent lab results, alter test data, or upload falsified, forged, or materially misleading COAs.
• Do not abuse the services, including attempting to reverse engineer the platform, circumvent plan limits, probe or disrupt our infrastructure, or scrape or harvest other merchants' data.

We may remove content or suspend accounts that violate this section.

LabLinks is a hosting and display tool. We do not verify, certify, or validate the lab results you upload, and nothing in the services constitutes legal, regulatory, or compliance advice. You remain solely responsible for compliance with the laws and industry regulations that apply to your products, labeling, and testing claims.

The services depend on third-party providers, including Shopify (platform integration and app billing), Stripe (payments), Clerk (authentication), and our hosting and infrastructure providers. Your use of those services is subject to their own terms, and we are not responsible for their availability or conduct. The LabLinks platform — including its software, design, features, and branding — is owned by Hammer Forge Apps LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the services during your subscription. These Terms do not grant you any rights to our trademarks or source code.

You may cancel your subscription or delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or fail to pay. Upon termination, your right to use the services ends; you will have a reasonable window of at least 30 days to export Your Content unless we are legally required to act sooner, after which your data is deleted as described in our Privacy Policy.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the services will be uninterrupted, error-free, or that lab results displayed through the services are accurate or complete.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAMMER FORGE APPS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Hammer Forge Apps LLC and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your products, your violation of these Terms, or your violation of applicable law or third-party rights.

We may update these Terms from time to time. If we make material changes, we will update the effective date above and notify you by email or in-app notice before the changes take effect. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Minnesota, and you consent to their jurisdiction.
